The shares of Novere Capital S.A. (ticker symbol: NC), a Romanian holding company active in the real estate investment sector, are traded as of today, 31 August, on the Regulated Market of the Bucharest Stock Exchange (BVB), following their transfer from the AeRO market. Novere Capital has been present on the capital market since August 2022, and at the time of the transfer its market capitalisation exceeded RON 77 million. The transfer to the Regulated Market represents for Novere Capital the transition to a market framework suited to the company’s next stage of development, with enhanced reporting requirements and greater visibility among the investment community.
“The transfer of Novere Capital shares to the Regulated Market reflects the company’s evolution over its four years of presence on the Stock Exchange. The experience and best practices accumulated on the AeRO market pave the way for broader access to financing resources and institutional investors. This journey confirms BVB’s vision of being a long-term partner for local businesses with potential. This is precisely why we are preparing the launch of the Growth Market, a space designed for ambitious companies seeking to move to the next stage of development. Novere Capital’s journey is proof of what can be achieved when entrepreneurial vision meets the opportunities offered by the capital market,” stated Remus Vulpescu, Chief Executive Officer of the Bucharest Stock Exchange.
“For Novere Capital, the transfer to the Regulated Market is a confirmation of the company’s maturity and reflects the operational implementation of the standards we have undertaken as an issuer. The role of the Board of Directors is to support this evolution through a solid governance framework, rigorous oversight of strategy execution and a transparent and predictable relationship with shareholders. We are entering this stage with the objective of strengthening market confidence and supporting the company’s long-term development under conditions of discipline and responsibility,” stated Laurentiu Mihai Dinu, Chairman of the Board of Directors of Novere Capital.
*“The transfer to the Regulated Market marks the beginning of a new stage of development for Novere Capital, in which we are focusing on increasing the share of recurring revenues and building an institutional-grade real estate portfolio. By 2028, we aim to develop a portfolio of approximately EUR 100 million through rigorously selected investments, a prudent capital structure and firm discipline in the allocation of resources. In parallel, we will continue to strengthen our governance, reporting and portfolio management standards, so that Novere Capital becomes a relevant investment platform for its shareholders and institutional investors. Our objective is to create long-term value through portfolio appreciation and the development of predictable income streams, with the possibility of distributions to shareholders when results and market conditions allow,” *stated Dan Petrisor, CEO of Novere Capital.
Starting from 27 July, the shares of Novere Capital, formerly known as Meta Estate Trust (MET), have been traded on the Stock Exchange under the NC ticker symbol.
The transition to Novere Capital marked the beginning of this transformation, while the experience accumulated as a listed company and the relationship built with investors remain the foundation for the company’s next stage of development.
Founded in 2021, Novere Capital is a rapidly expanding real estate investment platform whose shares began trading in 2022 on the BVB Multilateral Trading System (AeRO market). One year later, in March 2023, Novere Capital was included in the BET AeRO index, less than one year after its admission to trading, following the fulfilment of the applicable selection criteria. Within the index, Novere Capital stood out among issuers in the Real Estate sector, recording both the highest weighting and the highest level of liquidity within this category.
During Novere Capital’s four years of presence on the AeRO market, investors carried out 8,600 transactions involving almost 42 million NC shares, with a total value exceeding RON 32 million.
The transfer of Novere Capital shares to the Regulated Market was carried out with the support of Goldring as intermediary.
“Novere Capital’s transition from AeRO to the Regulated Market of the Bucharest Stock Exchange concludes a preparation process carried out over several months, during which the company restated its financial statements in accordance with IFRS, strengthened its corporate governance framework and completed the entire approval procedure with the ASF. It is a natural stage for a company that has been listed on AeRO since 2022 and has demonstrated responsibility and exemplary conduct in its capacity as an issuer. The main market segment provides Novere Capital with a more demanding transparency framework and access to a broader investor base, including institutional investors. For Goldring, as intermediary of the transaction, such achievements confirm that the Romanian capital market functions as a genuine growth ladder for entrepreneurial companies, from their first step on the stock exchange to the level of maturity required for access to the Regulated Market,” stated Virgil Zahan, Chief Executive Officer of Goldring.
Novere Capital is the eighth BVB-listed company to transfer from the AeRO market to the Regulated Market, following Bucur S.A. (BUCV) in March of this year, Simtel Team (SMTL) in August 2024, Roca Industry (ROC1) in March 2024, AROBS Transilvania Software (AROBS) in September 2023, Safetech Innovations (SAFE) in February 2023, Chimcomplex Borzesti (CRC) in January 2022 and Bittnet Systems (BNET) in June 2020. The transfer to the Regulated Market provides Novere Capital with the framework required for its next stage of development, through increased visibility on the capital market, access to a broader investor base and integration into a segment with higher transparency requirements.
